The Irish flagship carrier is reportedly prepared to accept the latest takeover bid from British Airways and Iberia owner IAG.
It is understood that IAG has offered €2.50 a share, thus putting a value to Aer Lingus of around €1.3bn.
The Aer Lingus board had rejected two other takeover bids in the last few weeks. The deals on offer then were worth €2.30 and €2.40 a share, respectively.
The Irish Government owns a 25.1% stake in Aer Lingus, while Ryanair owns 29.9%.
The companies involved will reportedly make a detailed statement on Monday.
